Terms and Conditions for Review Platform
1. Scope of Application 1.1 These Terms and Conditions (hereinafter referred to as “Terms”) apply to all users of the review platform (hereinafter referred to as “Platform”). 1.2 By using the Platform, users agree to these Terms. 1.3 The services offered by the Platform are exclusively for businesses, companies, tradespeople, self-employed individuals, freelancers, and legal entities of public law.
2. Platform Services 2.1 The Platform allows users to post and view reviews and ratings of products and services. 2.2 The Platform provides the technical infrastructure but does not assume liability for the content of the reviews. 2.3 Registration on our Platform and the creation of a review profile are free of charge. 2.4 Only one profile per business or trade, which the user verifiably owns, may be created. Additionally, only one account per email address is allowed. If a user wishes to create separate accounts for multiple businesses or brands, each account must be registered with a unique email address.
3. Registration and User Account 3.1 The use of certain features of the Platform requires registration. 3.2 The data provided during registration must be complete and accurate. 3.3 Each user may only register once and create one user account. 3.4 The Platform reserves the right to reject a user’s registration without providing reasons. There is no legal entitlement to registration. 3.5 User reviews from other review providers can be migrated to our Platform upon request. This is a bespoke process that may incur additional costs, depending on the data format. We can provide a quote for potential migration upon request. There is no guarantee that all review data can be transferred, and no legal entitlement to migration exists.
4. User Obligations 4.1 Users must provide complete and accurate information and promptly notify us of any changes, particularly regarding the business name, address, and email address. 4.2 Users are responsible for ensuring there are no copyright infringements in their profiles (texts, profile picture, reviews) and must remove any infringing content. Users are liable for any copyright violations and are responsible for their profiles and reviews. 4.3 Users must verify the received reviews themselves and report any violations of the review guidelines to us. 4.4 Users must keep their access credentials to our Platform confidential, secure them from unauthorized access, and regularly change their passwords. We are not liable for lost or stolen access credentials. 4.5 Users must not manipulate, misuse, or disable our review system. 4.6 Users must obtain prior consent from their customers before sending review invitations. We are not liable for invitations (emails) sent without consent. 4.7 Users may only integrate our seals and widgets on websites that do not contain discriminatory, sexist, racist, copyrighted, or youth-endangering materials. 4.8 Users are solely responsible for complying with these obligations. If a user breaches these obligations, we are entitled to claim damages.
5. Rights to Content 5.1 The user grants the Platform a simple, geographically and temporally unrestricted right to use the content they post. 5.2 The Platform reserves the right to edit, delete, or block content, particularly if it violates legal provisions or these Terms.
6. Platform Liability 6.1 The Platform is not liable for the accuracy, completeness, and timeliness of the reviews and content. 6.2 The Platform is only liable for damages resulting from intentional or grossly negligent breaches of duty. 6.3 Liability for lost profits, data loss, or other indirect damages is excluded.
7. Privacy 7.1 The Platform processes users’ personal data in accordance with applicable data protection laws, including the EU General Data Protection Regulation (GDPR) for users located in the European Union. 7.2 We collect, process, and use personal data (e.g., name, address, email address) only if you have given your express consent or if the collection, processing, or use of data is permitted by legal regulations. 7.3 Users have the right to obtain information about their personal data stored by us at any time, as well as the right to correction, restriction of processing, data portability, and deletion of their personal data, provided there are no legal retention obligations. Users can contact us at any time regarding their rights. 7.4 Users have the right to withdraw their consent to the processing of their personal data at any time with effect for the future. The withdrawal of consent does not affect the lawfulness of processing based on consent before its withdrawal. 7.5 If personal data is transferred to third countries outside the EU, we ensure that the data recipient guarantees an adequate level of data protection in accordance with GDPR (e.g., through standard contractual clauses). 7.6 Users have the right to lodge a complaint with a supervisory authority if they believe that the processing of their personal data violates applicable data protection laws. 7.7 Further information on data processing can be found in the Platform’s Privacy Policy.
8. Changes to the Terms 8.1 The Platform reserves the right to change these Terms at any time. 8.2 Changes to the Terms will be communicated to the users in a timely manner. Continued use of the Platform after notification of changes constitutes acceptance of the revised Terms.
9. Termination and Suspension 9.1 Users can terminate their user account at any time without providing a reason, provided there are no outstanding invoices and no active premium packages. 9.2 Account deletion is irreversible. All user data and reviews on our Platform will be lost. Due to technical reasons, data deletion may take up to 30 days to complete. 9.3 Before deleting an account, users can request the release of their reviews. If a user no longer wishes to use our services and wants to transfer their reviews to another review provider, we can create a CSV file containing all of the user’s reviews for a processing fee. However, there is no legal entitlement to this service.
10. Extraordinary Termination 10.1 If our Platform is misused by the user, we are entitled to terminate existing contracts with immediate effect and to suspend or delete the user’s account. 10.2 We are also entitled to extraordinary termination if services or support are excessively used beyond the ordinary scope, threatening our sustainability, or if we cease business operations. 10.3 We can change these Terms with appropriate notice. If the user does not object to the changes within a set period, the changes are considered approved.
11. Final Provisions 11.1 These Terms are governed by the laws of the United States. 11.2 If any provision of these Terms is invalid, the validity of the remaining provisions shall not be affected. 11.3 The place of jurisdiction, as far as legally permissible, is the location of the Platform.
